Agreement to these terms

These Terms and Conditions ("Terms") govern access to the Sides website, waitlist, and any Sides service that links to them (collectively, the "Service"). Sides Archive LLC ("Sides," "we," "us," or "our") provides the Service. By accessing or using the Service, you agree to these Terms and acknowledge the Privacy Statement. If you do not agree, do not use the Service.

You may use the Service only if you can form a binding contract with Sides and are not barred from doing so under applicable law. If you use the Service for an organization, you represent that you can bind that organization to these Terms.

The Service and your account

Sides provides tools for a private, user-authored Archive of physical recorded music. Features may change, and some may be offered as previews, experiments, or optional tools. Joining the waitlist does not create a Sides account or Archive and does not guarantee access to a future release.

You are responsible for providing accurate account information, safeguarding your credentials, and promptly notifying us of suspected unauthorized use. You are responsible for activity under your account to the extent permitted by law.

Your content and Archive

You retain ownership of content you submit to Sides. You grant Sides a limited, non-exclusive, worldwide license to host, copy, process, transmit, and display that content only as reasonably necessary to provide, secure, maintain, and improve the Service, comply with law, and carry out your instructions. This license ends when the content is deleted from our systems, except where retention is reasonably necessary for backups, legal obligations, security, fraud prevention, or dispute resolution.

You represent that you have the rights and permissions needed to submit your content and allow Sides to process it as described in these Terms and the Privacy Statement. You remain responsible for the accuracy, legality, and appropriateness of the canonical records you save to your Archive.

Artificial intelligence and Maestro

Maestro is an optional AI-assisted research feature. Manual intake remains available. Maestro researches outside evidence for the recording in front of you and proposes values for your review. It cannot decide what is true for your Archive, save a proposal as an Archive record, or browse, explore, edit, merge, or reorganize your Archive. Only you decide whether to use or save a proposed value.

To provide Maestro, Sides may send the prompts, intake details, feedback, and supported attachments you submit to third-party AI and infrastructure providers. Their processing is also described in the Privacy Statement. Do not submit personal, confidential, or sensitive information that is not necessary for the intake.

AI output may be inaccurate, incomplete, misleading, biased, or unsuitable for your circumstances, even when it appears confident or includes a source. You must review the underlying evidence and every proposal before relying on or saving it. Maestro is not a substitute for professional, legal, medical, financial, preservation, or valuation advice, and you must not use it to make high-impact decisions about a person.

You may use Maestro output as part of your personal Archive, subject to applicable law and third-party rights. Sides does not guarantee that output is unique or that you can claim intellectual-property rights in it. Maestro research gathered for your intake does not become part of a shared global catalog.

Acceptable use

You may not use the Service to:

• violate law or another person's rights;
• submit content you do not have permission to use;
• harass, threaten, defraud, impersonate, or harm another person;
• introduce malware or interfere with the Service or another user's access;
• bypass access, rate, safety, or security controls;
• probe or test vulnerabilities without prior written authorization;
• scrape or access the Service through unauthorized automated means; or
• use Maestro or its output for unlawful or high-impact automated decisions.

Sides materials and feedback

The Service, including its design, software, text, graphics, and trademarks, is owned by Sides or its licensors and is protected by applicable law. Except for rights expressly granted in these Terms, Sides and its licensors reserve all rights. If you provide feedback, you allow Sides to use it without restriction or compensation, provided we do not publicly identify you without permission.

Third-party services and information

The Service may rely on or link to third-party services, websites, metadata, or other information. Sides does not control third-party services and is not responsible for their content, availability, or practices. Your use of a third-party service may be governed by separate terms and privacy notices.

Changes, suspension, and termination

We may modify, suspend, or discontinue all or part of the Service. You may stop using the Service at any time. We may restrict or terminate access if we reasonably believe you violated these Terms, created risk or legal exposure, or used the Service in a way that could harm Sides, another user, or a third party. Where appropriate, we will provide notice and an opportunity to address the issue.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." SIDES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SIDES DOES NOT WARRANT THAT THE SERVICE OR ANY AI OUTPUT WILL BE ACCURATE, COMPLETE, SECURE, UNINTERRUPTED, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE TERMS MAY NOT APPLY TO YOU.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIDES AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS.

Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Sides and its affiliates, officers, directors, employees, and agents from claims, damages, losses, liabilities, and expenses arising from your content, your misuse of the Service, or your violation of these Terms or another person's rights.

General terms

If part of these Terms is unenforceable, the remaining parts will remain in effect. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition, reorganization, or sale of assets. These Terms and any incorporated policies are the entire agreement between you and Sides concerning the Service.

We may update these Terms. We will post the updated version and revise the date above, and we will provide additional notice when required. Continued use after the updated Terms take effect means you accept them to the extent permitted by law.
